                  Description of Transaction and Public Interest Statement

         Consolidated Edison Development, Inc. (“CED”) and Sempra Solar Portfolio Holdings,
LLC (“Portfolio Holdings”) request consent for the transfer of control of an experimental STA
authorization held by Broken Bow II Wind Holdings, LLC (“Broken Bow”). The parties have
also filed applications with the Wireless Telecommunications Bureau in connection with private
radio licenses held by affiliates of Broken Bow.

        Portfolio Holdings currently holds a 50 percent indirect ownership interest in Broken
Bow. CED indirectly holds the remaining 50 percent. In the transaction, CED proposes to
acquire, through CED Southwest Holdings, Inc. (“CED SW”), all of Portfolio Holdings’
membership interests in Broken Bow. As a result of the proposed transaction, CED will
indirectly, wholly own Broken Bow.

        CED is an indirect wholly-owned subsidiary of Consolidated Edison, Inc. CED SW is a
direct wholly-owned special purpose subsidiary of CED.

        Commission consent to the proposed transfer of control is in the public interest. The
experimental radio authorization held by Broken Bow authorizes the trial operation of a wireless
communications system being evaluated for use in supporting critical wind energy operations
and innovation. The Commission’s consent will authorize and support the continuous,
uninterrupted operations of the wireless communication facilities being evaluated and tested by
Broken Bow following the acquisition by CED.
