                                 Description of Transaction

        Pursuant to Sections 5.59 and 5.79 of the Commission’s rules,1 AT&T Labs, Inc.
(“AT&T Labs”) and AT&T Services, Inc. (“AT&T Services”) hereby seek consent from the
Commission to assign experimental license KM2XBI from AT&T Labs to AT&T Services.
AT&T Labs and AT&T Services are both wholly owned subsidiaries of AT&T Inc., and, as part
of a planned internal corporate reorganization, AT&T Labs will be merged into AT&T Services
on or about December 31, 2010. Accordingly, no substantial change of control will result from
the assignment of the aforementioned license. The transaction will create no competitive
concerns and presumptively should be in the public interest.2
