               STREAMLINED INTERNATIONAL APPLICATIONS ACCEPTED FOR FILING
              SECTION 214 APPLICATIONS (47 C.F.R. § 63.18); SECTION 310(B)(4) REQUESTS
Unless otherwise specified, the following procedures apply to the applications listed below:

The international Section 214 applications listed below have been found, upon initial review, to be acceptable for filing
and subject to the streamlined processing procedures set forth in Section 63.12 of the Commission's rules, 47 C.F.R. §
63.12. These applications are for authority under Section 214 of the Communications Act, 47 U.S.C. § 214, (a) to
transfer control of an authorized carrier or to assign a carrier's existing authorization; and/or (b) to become a
facilities-based international common carrier; and/or (c) to become a resale-based international common carrier.

Pursuant to Section 63.12 of the rules, these Section 214 applications will be granted 14 days after the date of this public
notice (see 47 C.F.R. § 1.4 regarding computation of time), and the applicant may commence operations on the 15th
day, unless the Commission has informed the applicant in writing, within 14 days after the date of this public notice,
that the application, on further examination, has been deemed ineligible for streamlined processing.

Communications between outside parties and Commission staff concerning these applications are permitted subject to
the Commission's rules for "permit-but-disclose proceedings." See 47 C.F.R. § 1.1206. An application can be removed
from streamlined processing only in the sound discretion of Commission staff. The filing of comments or a petition to
deny will not necessarily result in an application being deemed ineligible for streamlined processing.

The petitions for declaratory ruling listed below are for authority under Section 310(b)(4) of the Communications Act,
47 U.S.C. § 310(b)(4), to exceed the 25 percent foreign ownership benchmark applicable to common carrier radio
licensees. The requested rulings will be granted 14 days after the date of this public notice, effective the next day,
unless the application is formally opposed or the Commission has informed the applicant in writing, within 14 days of
the date of this public notice, that the application, on further examination, has been deemed ineligible for streamlined
processing. For this purpose, a formal opposition shall be sufficient only if it is received by the Commission and by the
applicant within 14 days of the date of this public notice and its caption and text make it unmistakably clear that it is
intended to be a formal opposition.

TO:   Virgin Mobile USA, L.P.
Application to transfer the control of international section 214 authorization, ITC-214-20050812-00320, held by Helio, LLC (Helio), from SK
Telecom USA Holdings, Inc. (SK Telecom) to Virgin Mobile USA, L.P., which is majority owned by Virgin Mobile USA, Inc. Pursuant to the
terms of an agreement executed on June 27, 2008, SK Telecom and EarthLink Inc. (EarthLink), which holds a minority equity interest in Helio,
will exchange their membership units in Helio for limited partnership units in Virgin Mobile USA L.P. representing approximately12.8% and
2.1% ownership interests respectively. Additionally, Helio, Inc., Helio's management member through which SK Telecom currently holds its
controlling interest in Helio, will exchange its membership units in Helio for Class A common stock of Virgin Mobile USA, Inc., representing a
0.2% ownership interest in the company. Upon closing, Helio will become a wholly-owned subsidiary of Virgin Mobile USA, L.P.

Upon closing, the following entities will hold direct and indirect ownership interests in Virgin Mobile USA, L.P.: Virgin Mobile USA, Inc.
(direct and indirect equity interests: 71%); SK Telecom (direct equity interest: 13%, and indirectly, through Virgin Mobile USA, Inc., an
attributable interest of 6% for a combined total of 19% equity interest); Sprint Nextel, a widely-held publicly traded company (direct equity
interest: 14%). Virgin Mobile USA, Inc. is a publicly traded company. Virgin Group Holdings Limited (Virgin Group), a British Virgin Islands
limited company, will hold 44% of Virgin Mobile USA, Inc. Class A and Class C stock through a number of named, wholly-owned subsidiaries,
organized in either the United States or the British Virgin Islands. Virgin Group is owned by Richard Branson, a citizen of the United Kingdom,
and a series of trusts the beneficiaries of which are Richard Branson and his immediate family. Post closing, 46% of Virgin Mobile USA, Inc.'s
Class A common stock will be widely held by public shareholders with no person or entity expected to hold a 10 percent or greater ownership
interest. The remaining Class A common shares will be held by minority investors with less than 10% ownership interests. No other person or
entity will hold 10 percent or greater direct or indirect ownership interest in Virgin Mobile USA, L.P.

Virgin Mobile USA L.P. agrees to accept as a condition of grant of this application that it become a party to commitments made by Helio in a
January 10, 2006 letter to the Department of Justice, Federal Bureau of Investigation and the Department of Homeland Security (January 10 2006
Letter). A copy of the January 10 2006 Letter is publicly available and may be viewed on the FCC web-site through the International Bureau
Filing System (IBFS) by searching for ITC-T/C-20080701-00293 and accessing "Attachment Menu" from the Document Viewing area.

FROM: TIME WARNER INC.
TO:   Time Warner Cable Inc
Application for consent to the transfer of control of international section 214 authorization, ITC-214-20030117-00043, held by TWC
Communications, LLC (TWC Communications) from Time Warner, Inc. (TWX) to Time Warner Cable, Inc. (TWC). TWC Communications is
an indirect, wholly-owned subsidiary of TWC. Currently, TWX holds majority ownership interest in TWC (84% equity and 90.6% voting
interest). TWX is a widely held publicly traded company. Pursuant to a Separation Agreement, executed on May 20, 2008, TWC will separate
from TWX. First, there will be a multi-step internal restructuring which will result in TWX becoming the direct corporate parent of TWC and
holding all of its issued and outstanding equity interests not already held by the public at large. Next, TWX will transfer to its shareholders its
entire ownership of TWC. Upon consummation, TWX will cease to have any ownership interests in TWC, and TWX will no longer be the
indirect parent of TWC Communications. TWC Communications will be 100 percent indirectly owned by TWC shareholders.
