On February 10, 2004, Inmarsat Ventures Ltd. ("Inmarsat") filed a letter with the Commission stating that (1) Inmarsat has sold a
majority equity interest in Inmarsat to new shareholders and (2) that Inmarsat has made an initial public offering of debt securities.
Inmarsat's letter states that the transactions described in the filing establish that it has complied with the statutory requirement
pursuant to the Open-Market Reorganization for the Betterment of International Telecommunications Act, Pub. Law 106-180 114
Stat. 48 (2000), (the "ORBIT Act"), to conduct an initial public offering prior to June 30, 2004. The Commission conditioned
Inmarsat's U.S. authorizations "on Inmarsat conducting an IPO consistent with sections 621(2) and 621(5)(A)(ii) of the Orbit Act."
