Transfer of Control

Astrolink International LLC has filed an application for consent to the transfer of control that would result from the redemption of
the membership interest held by Telespazio Luxembourg, S.A. ('TSA'), in ASTROLINK International LLC ('Astrolink'), licensee of the
Astrolink Ka band satellite system.

Under the current ownership structure, three investors hold membership interests in Astrolink. LSAT Astro LLC (LSAT Astro), which
ultimately is controlled by Liberty Media Corporation (Liberty Media), holds a 38.8% interest, Lockheed Martin
Global Telecommunications, Inc. (LMGT) holds a 38.4% interest and TSA holds a 22.8% interest. The current structure reflects the
redemption of the 18.9% membership interest previously held by Northrop Grumman Space & Mission Systems Corp. (formerly
known as TRW Inc.), which occurred effective as of January 17, 2003. The parties now propose to redeem the ownership interest of
TSA, which will result in a proportional increase in the interests held by the two remaining members, LSAT Astro and LMGT.
Specifically, following the proposed redemption of TSA’s membership interest in Astrolink, LSAT Astro will hold a 50.3%
membership interest and LMGT will hold a 49.7% membership interest.

Astrolink has filed a related transfer of control application for its licensed earth station facilities. See File No.
SES-T/C-20030220-00221, Public Notice, Report No. SES-00475 (released February 26, 2003).
