The applications listed below have been found, upon initial review, to be acceptable for filing. The Commission reserves

Transfer of Control
Current Licensee: WB HOLDINGS 1, LLC
FROM: WILDBLUE COMMUNICATIONS, INC.
TO:      Wildblue Communications, Inc.


Wildblue Communications, Inc. has filed an application for consent to a transfer of control. Wildblue is the parent company of WB
Holdings 1, LLC, a wholly owned subsidiary, which holds authorizations to operate a Ka-band satellite system consisting of two
satellites and 10 transmit/receive earth stations that will operate as gateways. (See also File No. SES-T/C-20021226-02209.) The
transaction transfers control from one group of shareholders to a different group of shareholders led by Liberty Satellite, LLC, Intelsat
USA Sales Corp., and the National Rural Telecommunications Cooperative.

In addition, Wildblue has requested the Commission to specify that this application will be conducted in accordance with the provisions
of Section 1.1206 governing permit-but-disclose proceedings. This request is still pending.

2002).
