The Commission has received a request from Inmarsat Ventures PLC ("Inmarsat") for an extension of the December 31, 2002 deadline
established under Section 621(5)(A)(ii) of the Open-market Reorganization for the Betterment of International Telecommunications
Act, as amended (Pub. Law 106-180, 114 Stat. 48 (2000)) ("ORBIT Act"). Section 621(5)(A)(ii), as amended, requires Inmarsat in
serving the U.S. market to conduct a public offering no later than December 31, 2002. The Commission is allowed to extend this
deadline to no later than June 30, 2003. The Commission previously granted Inmarsat two extensions of time from the original
October 1, 2000 statutory deadline to July 1, 2001 and then to December 31, 2001. [Inmarsat Ventures Ltd., 15 FCC Rcd 19740
(released October 3, 2000) and Inmarsat Ventures Ltd., FCC 01-193 (released June 28, 2001)]. In 2001, Congress amended the statute
extending the deadline to December 31, 2002.

Comments may be filed on or before November 1, 2002. Reply comments may be filed on or before November 11, 2002.

Northrop Grumman Corporation has filed an application for transfer of control of the Ka-band satellite authorizations held by TRW
Inc. (See IBFS File Nos. SAT-LOA-19970904-00081 to -00084 and SAT-AMD-19971222-00229) pursuant to the terms of the
merger agreement between TRW Inc., an Ohio Corporation; Northrop Grumman Corporation, a Delaware corporation; and Richmond
Acquisition Corp., a newly formed Ohio Corporation and wholly-owned subsidiary of Northrop Grumman.

Northrop Grumman is a publicly-traded, global, defense company headquartered in Los Angeles, CA. Northrop Grumman and its
wholly-owned subsidiaries are current FCC licensees, holding over 290 authorizations in a wide range of service categories. Therefore,
its qualifications are matter of record before the Commission. Under the terms of the merger agreement, Northrop Grumman will
acquire TRW through a common stock transaction and will assume TRW's net debt at the time of closing. Following consummation of
the transaction, TRW's satellite and defense systems businesses will be operated as a separate Northrop Grumman sector.
