Modification


Constellation Communications Holdings, Inc. (Constellation) has filed an application for modification of its authorization to provide
mobile satellite service (MSS) in the 1990-2025 MHz and 2165-2200 MHz (2 GHz MSS) frequency bands. Constellation seeks
authority to change the technical specifications of its authorized system to conform with the technical specifications of the 2 GHz
MSS system of ICO Global Communications (Holdings) Limited (ICO Global); and to change its authorized feeder link frequencies to
the 5150-5250 MHz band for uplink transmissions and the 6975-7075 MHz band for downlink transmissions. The proposed
modification will permit Constellation to implement its authorized 2 GHz MSS system by sharing satellite infrastructure with ICO
Global under the terms of a Satellite System Sharing Agreement dated July 16, 2002.

Mobile Communications Holdings, Inc. (MCHI) has filed an application for modification of its authorization to provide mobile satellite
service (MSS) in the 1990-2025 MHz and 2165-2200 MHz (2 GHz MSS) frequency bands. MCHI seeks authority to change the
technical specifications of its authorized system to conform with the technical specifications of the 2 GHz MSS system of ICO Global
Communications (Holdings) Limited (ICO Global); and to change its authorized feeder link frequencies to the 5150-5250 MHz band for

CCI International NV (CCII) and ICO Global Communications (Holdings) Limited (ICO Global) seek Commission consent to the
Transfer of Control of the authorizations held by Constellation Communication Holdings, Inc., a wholly-owned subsidiary of CCII, to
launch and operate a non-common carrier 2 GHz mobile satellite service (MSS) system and a non-common carrier Above 1 GHz (or
"Big LEO") MSS system.

Constellation holds two FCC licenses. The Big LEO license was issued by the Commission in 1997 for a 46-satellite MSS system
operating in the 1610-1626.5 MHz and 2483.5-2500 MHz bands. Constellation is also authorized to operate feeder links in the
5091-5250 MHz and 15.43-15.63 GHz bands and feeder downlinks in the 6700-7025 MHz band to support its Big LEO system. The 2
GHz MSS license was issued by the Commission in 2001 for an MSS system operating in the 1990-2025 MHz and 2165-2200 MHz
bands using a minimum of 3.5 megahertz of spectrum in each transmission direction. Constellation is also authorized to use the
5091-5250 MHz and 15.43-15.63 GHz bands for feeder uplinks and the 6700-7025 MHz band for feeder downlinks to support its 2
GHz MSS system. ICO Global is authorized under U.K. law to construct, launch and operate a 12-satellite NGSO MSS system in the 2
GHz MSS bands. In addition, ICO Global's subsidiary, ICO Satellite Services G.P. (ICO Satellite), holds a letter of intent authorization
from the Commission reserving a minimum of 3.5 megahertz of spectrum in each direction of transmission in the 2 GHz MSS bands for
the provision of MSS in the United States.

Pursuant to a Stock Purchase Agreement, CCII, which owns all outstanding capital stock of Constellation, consisting of Series A
preferred stock and common stock, will sell all of its shares to ICO Global in exchange for payment of cash and shares of stock in ICO
Global, subject to Commission approval. The sale of stock occurs in two stages: (1) ICO Global immediately receives the Series A
Preferred Stock, constituting 49 percent of the voting interest in Constellation; and (2) ICO Global will receive the common stock,
constituting 51 percent of the voting interest in Constellation, subsequent to Commission approval of the proposed transaction.

ICO Global is a Delaware Corporation. Craig O. McCaw, a U.S. Citizen, controls ICO Global through his investment company, Eagle
River Investments, LLC, a Washington Limited Liability Company, which currently owns 69.9 percent of the voting interests and
34.6 percent of the economic interests in ICO Global. William H. Gates III, a U.S. Citizen, currently owns, through his investment
company, Cascade Investment, L.L.C., 13.4 percent of the voting interests and 4.8 percent of the economic interests in ICO Global.
No other single shareholder holds a 10 percent or greater equity or voting interest in ICO Global.

Mobile Communications Holdings, Inc. (MCHI) and ICO Global Communications (Holdings) Limited (ICO Global) seek Commission
consent to the Transfer of Control of the authorization to provide non-common carrier 2 GHz mobile satellite service (MSS) to be
held by ESBH, Inc. to ICO Global, contingent upon Commission approval of the concurrently-filed application for pro forma
assignment of MCHI's 2 GHz MSS license from MCHI to ESBH (See File No. SAT-ASG-20020719-00106).

ESBH is a wholly-owned subsidiary of MCHI, which is authorized to construct, launch and operate a 26-satellite, non-geostationary
(NGSO) MSS system to provide service to the United States in the 1990-2025 MHz and 2165-2200 MHz bands, using a minimum of
3.5 megahertz of spectrum in each transmission direction. MCHI is also authorized to use the 15.43-15.63 GHz band for feeder uplinks
and 200 megahertz of spectrum in the 6775-7025 MHz band for feeder downlinks. ICO Global is authorized under U.K. law to
construct, launch and operate a 12-satellite NGSO MSS system in the 2 GHz MSS bands. In addition, ICO Global's subsidiary, ICO
Satellite Services G.P. (ICO Satellite), holds a letter of intent authorization from the Commission reserving a minimum of 3.5
megahertz of spectrum in each direction of transmission in the 2 GHz MSS bands for the provision of MSS in the United States.

Pursuant to a Stock Purchase Agreement, MCHI, which owns all outstanding capital stock of ESBH, consisting of Series A preferred
