The Commission has received an application for consent to assignment of a license for a Non-Geostationary Satellite Orbit (NGSO)
Mobile Satellite Service ("MSS") System licensed to operate in the 2 GHz band from Iridium LLC to Iridium Constellation LLC. This
application arises out of the same transaction as the seven assignment applications, concurrently filed on March 19, 2001, seeking
Commission consent to assignment of various licenses and authorizations relating to the operation of the IRIDIUM MSS system from
various wholly-owned subsidiaries or affiliates of Motorola, Inc. and Iridium LLC to subsidiaries of two affiliated companies, Iridium
Holdings LLC and Iridium Carrier Holdings LLC (collectively with their wholly-owned subsidiaries "New Iridium"). See Public Notice,
Report No. SAT-00070 (released April 17, 2001).

This application incorporates by reference the detailed description of the transaction provided in Exhibit A of the pending assignment
application for the space segment of the IRIDIUM system. (See File No. SAT-ASG-20010319-00025).

Iridium Constellation LLC is a Delaware limited liability company and a wholly owned subsidiary of Iridium Satellite LLC. Iridium
Satellite LLC is a Delaware limited liability company and is wholly-owned subsidiary of Iridium Holdings LLC, a Delaware limited
liability company. Iridium Holdings LLC is owned by Tyrone Brown (2%) and Dan A. Colussy (5.871%), each U.S. citizens,
Syncom-Iridium Holdings Corp. and Syndicated Communications, Inc. (26.139%) of the United States; Baralonco N.V. (26.139%) of
the Netherlands Antilles, a company owned and controlled by Khalid bin Abdullah bin Adulrahman, who is a resident of the Kingdom of
Saudi Arabia; Bareena Holdings Pty, Ltd (26.139%) of Australia; and Millport Associates, S.A. (8.713%) of Panama, a wholly-owned
subsidiary of Inepar Administracao de Bens Servicos e Participacoes, S.A. of Brazil. Additional details regarding the ownership
relationship between Iridium Holdings and Iridium Constellation may be found in Exhibit B of the pending assignment for the space
segment of the IRIDIUM system. (See File No. SAT-ASG-20010319-00025).

In addition to action on the assignment application, New Iridium requests that space station operations conducted pursuant to the 2
GHz license be regulated on a non-common carrier basis.
