                                       SATELLITE POLICY BRANCH INFORMATION
   Comsat Corporation - Application for Transfer of Control to Comsat Government Systems, LLC, a wholly-owned
                                   subsidiary of Lockheed Martin Corporation
The Commission has received an application requesting consent to transfer control of Comsat Corporation (Comsat) and
its subsidiaries to Comsat Government Systems, LLC (CGS-LLC), a wholly owned subsidiary of Lockheed Martin
Corporation (Lockheed Martin) (together, applicants). Comsat holds certain satellite service authorizations, earth station
licenses, Section 214 authorizations, and Private Land Mobile Radio and Experimental authorizations. Comsat also holds
temporary authority to operate two space stations.

Comments or petitions to deny may be filed on or before May 4, 2000. Reply comments or oppositions to petitions to
deny may be filed on or before May 19, 2000. Responses may be files on or before May 26, 2000.

Lockheed Martin is a Maryland corporation with its principle office in Bethesda, Maryland. Comsat is incorporated in the District of
Columbia with its principle office in Bethesda, Maryland. CGS-LLC was created for the purpose of facilitating the proposed merger
with Comsat. If approved, the proposed merger would result in Comsat becoming a wholly-owned subsidiary of CGS-LLC. The
applicants claim that the resulting entity would combine Lockheed Martin's expertise in the design, development and manufacture of
advanced-technology systems with Comsat's business experience in providing international satellite services, and be better able to
compete with other entities in the international telecommunications marketplace. The applicants also state that the proposed merger
also will help advance important U.S. policy goals relating to the normalization of Comsat's business operations, privatization, and
technological leadership in a high-growth sector of the economy.

For purposes of ex parte communications, the Commission's regulations categorize requests involving the transfer of Title
III licenses as restricted. Under Section 1.1200(a), however, the applicable ex parte procedures may be modified in a
particular proceeding. This proceeding is the second part of a two-step merger process, the first half of which has
already been before the Commission as a permit-but-disclose proceeding, and is a direct result of recent Congressional
action (Open-Market Reorganization for the Betterment of International Telecommunications Act, Pub. Law 106-180, 114
Stat. 48 (2000)). Consequently, we conclude it will be in the public interest for this proceeding to be treated as a
"permit-but-disclose" proceeding. Persons making oral ex parte presentations are reminded that memoranda summarizing
the presentations must contain summaries of the substance of the presentations and not merely a listing of the subjects
discussed. More than a one or two sentence description of the views and arguments presented is generally required.
See 47 C.F.R. § 1.1206(b). Other rules pertaining to oral and written ex parte presentations in permit-but-disclose
proceedings are set forth in Section 1.1206(b) of the Commission's rules, 47 C.F.R. § 1.1206(b).

Commenters must file an original and four copies of all comments and reply comments. The lead file number for this series
