EXHIBIT 1 This pro forma transfer of control application seeks Federal Communications Commission (“Commission” or “FCC”) consent for certain changes to the controlling ownership chain of Commission licensees Tampnet Inc., Tampnet USA LLC, and Tampnet Licensee LLC (collectively, “Tampnet Licensees”). A complete list of all the Commission licenses and leases held by the Tampnet Licensees is attached as Appendix A. An ownership diagram depicting the controlling ownership chain of the Tampnet Licensees following the consummation of this pro forma transaction is attached as Appendix B. Post-consummation notices of this pro forma transaction will be filed with the Commission in connection with those licenses for which prior Commission approval is not required. The proposed pro forma transaction will consist of the following changes to the controlling ownership chain of the Tampnet Licensees: • The insertion of 3i Tampnet Holdings Limited, a United Kingdom company, between existing entities 3i Infrastructure plc and Colombo Topco Limited, such that 3i Infrastructure plc will wholly own and control 3i Tampnet Holdings Limited, and 3i Tampnet Holdings Limited will hold an approximately 42.5 percent voting and 43.6 percent equity interest in Colombo Topco Limited. • The insertion of Colombo Investment Holdings Limited, a United Kingdom company, between existing entities Colombo Topco Limited and Colombo Holdco Limited, such that Colombo Topco Limited will wholly own and control Colombo Investment Holdings Limited, and Colombo Investment Holdings Limited will wholly own and control Colombo Holdco Limited. • The removal from the controlling ownership chain of the Tampnet Licensees of the following entities: Brent Holding AS, Brent Invest AS, and Tampnet AS. • The insertion of Colombo US Bidco Inc., a United States company, between existing entities Colombo Bidco Limited and Tampnet Inc., such that Colombo Bidco Limited will wholly own and control Colombo US Bidco Inc., and Colombo US Bidco Inc. will wholly own and control Tampnet Inc. None of the foregoing changes to the controlling ownership chain of the Tampnet Licensees will have any effect on the indirect ultimate control or ownership of the Tampnet Licensees. These changes also will have no effect on the Tampnet Licensees’ operations, employees, or management, and they will be imperceptible to the customers of the Tampnet Licensees.
