               This application serves as notification of the pro forma assignment of the earth

station license held by WDTN Broadcasting, LLC, which will occur as a result of the conversion

by merger (the “LLC Conversion”) of LIN Television Corporation’s direct corporate parent, LIN

TV Corp. (“LIN Corp.”), from a corporation to a limited liability company, LIN Media LLC

(“LIN LLC,” and, together with LIN Corp., the “Company”). The LLC Conversion is intended

solely to change the Company’s form of organization from a corporation to a limited liability

company. LIN LLC will have the same classes of authorized capital and the same amount of

outstanding equity interests as LIN Corp. and there will be no change in the proportionate

ownership interests in LIN LLC after the transaction as in LIN Corp. prior to the transaction.

The LLC Conversion will result in no change in the business, management, operations or assets

of the Company.

               In connection with the LLC Conversion, the Company also intends to convert the

form of organization of certain of LIN Television’s direct or indirect wholly owned subsidiaries

from corporations to limited liability companies. One of these subsidiaries, TVL Broadcasting,

Inc. (“TVL Parent”), is the intermediate parent of two of LIN Television’s indirect FCC licensee

subsidiaries, TVL Broadcasting of Rhode Island, LLC (“TVL Rhode Island”), and WDTN

Broadcasting, LLC (“WDTN”). Consequently, the conversion of TVL Parent to an LLC will

result in a transfer of control of TVL Rhode Island and WDTN eligible for pro forma treatment.

The applicants respectfully request Commission consent to the intermediate transfer of control of

WDTN pursuant to the instant application.


               Concurrently herewith, FCC Form 312s have been filed with the International

Bureau, FCC Form 316s have been filed with the Media Bureau and FCC Form 603s have been

filed with the Wireless Bureau for consent to the transfer of control of the Company’s satellite

earth, television and, private radio stations, respectively.

               The associated earth station license will continue to be used in the same manner

and for the same purposes following the pro forma transactions. Accordingly, the public interest

would be served by FCC grant of the instant application.
