WVEC, Hampton, VA Pro Forma Assignment December 2017 FCC Form 312 EXHIBIT E & F WVEC Television, Inc. (“Assignor”), licensee of satellite earth stations registrations E860432 and E060052 (the “Stations”), hereby notifies the Commission of the proposed conversion of Assignor from a Delaware corporation to a Delaware limited liability company, WVEC Television, LLC (“Assignee,” and such conversion, the “Conversion”). The Conversion will result in the pro forma assignment of Assignor’s licenses and registrations to Assignee. However, there will be no substantive change in the ownership structure. Assignor currently is directly wholly owned by Belo Corp., which in turn is directly wholly owned by TEGNA Inc. After the Conversion, Assignee likewise will be directly wholly owned by Belo Corp., which will remain directly wholly owned by TEGNA Inc. Thus, the Conversion will affect only the corporate form of the Stations’ licensee, without altering its ultimate ownership and without resulting in any change in its business, management, operations or assets. Assignor uses the Stations to support the broadcast television operations. Grant of this application accordingly will serve the public interest by allowing the Stations to continue to be used to provide important broadcast programming, including local news and other items of the community interest to the residents of the Hampton, Virginia area. Attachments A and B attached hereto illustrate WVEC’s pre- and post-Conversion ownership structures, respectively.
