Form 312 Exhibit F Description of Transaction and Public Interest Statement Applicant seeks consent to the proposed pro forma transfer of control of licenses in relation to a company reorganization, as depicted below. In connection with the reorganization, (i) North Carolina Broadcasting, LLC will merge with and into Bonten Media Group 1 LLC, and (ii) Bonten Media Group 1 LLC will merge with and into Bonten Media Group Holdings, Inc., with Bonten Media Group Holdings, Inc. as the surviving entity. Concurrently, with the consummation of those transactions, Bonten Media Group Holdings, Inc. will change its name to Sinclair Media VI, Inc. The proposed pro forma transaction does not involve any changes to the licensees or to the ultimate ownership of the licensees. Following this reorganization, Sinclair Broadcast Group, Inc., through its subsidiaries, will retain its same controlling ownership interest in the licensees. Approval of this transfer of control application is in the public interest because it will allow the licenses to continue to be used in the operation of the broadcast stations also a part of the company reorganization.
