Notification of Transfer of Control of Receive-Only Earth Station Registrations In accordance with Section 25.119(j) of the Commission’s rules, Hargray Acquisition Holdings, LLC (“Hargray Acquisition”) notifies the Commission of the transfer of control of Hargray CATV Company, Inc. (“Hargray CATV”), Hargray, Inc., and Hargray of Georgia, Inc. (“Hargray Georgia,” together with Hargray CATV and Hargray, Inc., the “Registrants”), from Hargray Holdings, LLC (“Holdings”) to Hargray Acquisition, which occurred on May 16, 2017. The Registrants hold the receive-only earth station registrations identified on the accompanying Forms 312. The Registrants are direct, wholly owned subsidiaries of Hargray Communications Group, Inc. (“HCG”), which was directly wholly owned by Holdings prior to the consummation of the transaction. In the transaction, a subsidiary of Hargray Acquisition merged with and into HCG, and HCG is the surviving entity. As a result, the Registrants now are indirect, wholly owned subsidiaries of Hargray Acquisition. The Commission granted consent to this transaction in connection with the domestic and international Section 214 authorizations and wireless licenses held by HCG and its subsidiaries. Hargray Acquisition incorporates by reference the description of the transaction and the ownership information of the parties provided in those applications for consent.
