WHDH-TV FCC Form 312 Exhibit F - Description of Transfer of Control Pursuant to an application for transfer of control submitted to the Commission in 2009 and granted and consummated in 2010, the following is the ownership for television stations WHDH(TV), Boston, Massachusetts and WLVI(TV), Cambridge, Massachusetts consented to by the FCC. (See File No. BTCCDT-20091016ABY) WHDH-TV1, a Massachusetts business trust ("the Trust"), is the licensee of WHDH(TV), Boston, Massachusetts, and WLVI(TV), Cambridge, Massachusetts, both serving the Boston DMA. Sunbeam Management Corp. is the sole trustee of the Trust and controls all of the Trust's assets. WHDH, LLC, a limited liability company, wholly owns Sunbeam Management Corp. In addition, Sunbeam Television Corporation is the licensee of WSVN(TV), Miami, Florida. (WSVN and its licensee are not subject to the instant application for transfer of control.) The holders of the voting interests in WHDH, LLC and Sunbeam Television Corporation are Edmund N. Ansin, and the 1975 Trust, a trust he solely controls, James L. Ansin, Andrew L. Ansin and Stephanie L. Ansin. Additionally, there are three Ansin Family trusts established for the benefit of James L. Ansin, Andrew, L. Ansin and Stephanie L. Ansin. Each of those trusts holds a 16.379% non- voting interest in WHDH, LLC and Sunbeam Television Corporation. Please refer to the following chart. 1 WHDH-TV is also the licensee of earth station authorizations operating under Call Signs E030085, E030184, E980382, & E5061.

In 2009, after submission to the FCC of the transfer of control application noted above, Sunbeam Management Corp. was reformed to Sunbeam Management, LLC. The reformation was for internal business considerations, therefore, there is no agreement, understanding or other writing to associate with the instant application. Accordingly, the instant application is submitted to the Commission in order to make a technical correction to the ownership structure previously reported. At all times, the Sunbeam Management entity was the trustee of the Trust, the licensee of WHDH and WLVI. Also at all times, WHDH, LLC was the sole owner of the Sunbeam Management entity, and all of the reported direct and indirect owners of WHDH, LLC were the same. Consequently, there has been no change in the ultimate ownership of WHDH and WLVI. The following chart shows the proposed ownership structure and further demonstrates that there has been no change in any of the ownership of WHDH and WLVI as a consequence of the reformation of the Sunbeam Management entity. 3
