FCC Form 312 Application for Pro Forma Transfer of Control of Earth Station Licensee Question A.20 EXHIBIT E Description of Pro Forma Transaction The applicants seek prior Federal Communications Commission (“FCC”) consent to the proposed pro forma transfer of control of satellite earth station licensee USSecurenet, LLC “Licensee”). FCC prior approval for this pro forma transfer of control application is requested so that the transactions can be consummated by June 1, 2015. The current ownership of Licensee is 0.1 percent by U.S. citizen Deborah Deffaa and 99.9 percent by Debcom Inc., a U.S. corporation that is owned 100 percent by Deborah Deffaa. Applicants propose to transfer control of Licensee to an affiliate, MVS USA, Inc., which is a U.S.-corporation currently owned 100 percent by Debcom but upon consummation will be directly owned 100 percent by Deborah Deffaa. Because Deborah Deffaa will have ultimate control of Licensee before and after the proposed transaction, it is properly deemed a pro forma transfer of control. Organizational charts depicting the current and proposed ownership structures are attached.
