                                 Description of Transaction


        The proposed transaction is part of an internal reorganization.

      TV Alabama, Inc. is the licensee of two full-power digital television stations
WCFT-TV, Tuscaloosa, Alabama and WJSU-TV, Anniston, Alabama, and one digital
low power television station, WBMA-LD, Birmingham, Alabama.

        TV Alabama, Inc. is a direct, wholly-owned subsidiary of Allfinco, Inc. (“AFI”).
AFI is a direct, wholly-owned subsidiary of Allbritton Communications Company
(“ACC”). ACC’s is a direct, wholly-owned subsidiary of Allbritton Group, LLC
(“AGLLC”). AGLLC is an indirect, wholly-owned subsidiary of Sinclair Broadcast
Group, Inc. (“SBG”).

        In August 2014, the applicant proposed, and the FCC reviewed and consented to,
the pro forma assignment of license WBMA-LD (only) from TV Alabama, Inc. into a
direct, wholly-owned subsidiary, WBMA Licensee, LLC. See FCC File No. BALDTL-
20140822ABG (the "August Assignment"). The August Assignment has not yet been
consummated.1

       The instant pro forma application proposes a concurrent pro forma assignment
and pro forma transfer of control.

      The parties propose a pro forma assignment of earth station licenses, E060055
and E970058, from TV Alabama, Inc. to WBMA Licensee, LLC.

        Concurrently, TV Alabama, Inc., will merge in, and contribute its interests in the
earth stations, to its immediate parent, AFI. AFI will immediately merge in, and
contribute its interests in the earth station licenses, to its immediate parent, ACC. ACC
will immediately merge in, and contribute its interests in the earth station licenses, to its
immediate parent, AGLLC. AGLLC will be the surviving entity and will be the
immediate parent of WBMA Licensee, LLC. As disclosed above, AFI, ACC and
AGLLC are indirect, wholly-owned subsidiaries of SBG. See attached ownership chart.

  TV Alabama, Inc. filed separate assignments of license applications, on FCC Forms 314, seeking
Commission consent to assign the licenses of WCFT-TV and WJSU-TV to HSH Birmingham (WCFT)
Licensee, LLC. See FCC File Nos. BALCDT-20140924ACS and BALCDT-20141001CIL, respectively.
Both applications were consented to on December 4, 2014, but have not yet been consummated.
