Gray Television Group, Inc. FCC Form 312 - Exhibit F This application seeks FCC consent to the transfer of control of the earth station license(s) identified at item A8 of FCC Form 312 schedule A (the “Earth Stations”), from SJL Holdings II, LLC to Gray Television Group, Inc. The earth stations are used in connection with the broadcast operations of various television stations for news gathering and coverage of events of interest to the stations local communities. The parties to this application have filed an FCC Form 315 transfer of control application in the Media Bureau’s CDBS electronic filing system for consent to transfer control of the licensee of the TV stations associated with these earth stations. After consummation of the proposed transaction the licensee will continue to use the earth stations in the same manner and for the same purposes as before the transfer. Accordingly, grant of this FCC form 312 would serve the public interest. 108975035 v1
