LDB Media, LLC Form 312 Transfer of Control of Earth Station E070084 Exhibit E Description of Transaction The instant Form 312 application involves a transfer of control of a majority of the membership interests in LDB Media, LLC, the licensee of earth station license E070084. Pre-Transfer of Control membership interests: Name Percentage of Membership Interests in LDB Media, LLC Linda DesMarais 20% Douglas Barker 20% SNN Associates, LLC 50% Philip J. Lombardo 10% Post-Transfer of Control membership interests: Name Percentage of Membership Interests in LDB Media, LLC Linda DesMarais 3.75% Douglas Barker 3.75% SNN Associates, LLC 12.5% Citadel Communications, LLC 80% In connection with the transfer of these membership interests, Citadel Communications, LLC (“Citadel”) has been appointed the sole Manager of LDB Media, LLC, with full power to direct, manage, and control the company. Philip J. Lombardo, who previously held 10% membership interest in the licensee in his individual capacity, owns and controls a majority interest in Citadel. An organizational diagram depicting the membership interests in LDB Media, LLC and its members is attached. Citadel and Mr. Lombardo have previously been “passed on” by the Commission, most recently when Citadel acquired the license of full-power TV Station WLNE-TV, New Bedford, Massachusetts (Facility ID No. 22591) in File No. BALCDT-20110329ADN (granted May 12, 2011) and its associated earth station license E060048 in File No. SES-ASG-20110329- 00392 (granted April 26, 2011). The membership interests of SNN Associates, LLC (“SNNA”) are held by 24 different individuals, none of whom holds a 10 percent or greater interest in the licensee. No membership interest holder of SNNA holds more than a 13.5 percent interest in SNNA, which corresponds to less than a 2 percent interest in the licensee (13.5% x 12.5% = 1.7% of the licensee). Because SNNA only holds a non-controlling 12.5 percent interest in the licensee LDB Media, LLC, it is believed that disclosure of its individual membership interest holders is not required in the instant application.
