Omnitracs LLC Conversion (CNR) FCC Form 312 Exhibit F Description of Transaction and Public Interest Statement This application seeks Commission consent to a pro forma transfer of control of Corporacion Nacional de Radiodeterminacion S.A. de C.V. (“CNR”), licensee of Earth Station license E990397, resulting from the proposed conversion of Omnitracs, Inc. (“Omnitracs”), from a corporation to a limited liability company, Omnitracs, LLC (the “LLC Conversion”). CNR is an indirect controlled subsidiary of Omnitracs. The Commission previously consented to the transfer of control of CNR from QUALCOMM Incorporated (“QUALCOMM”) to Coronado Holdings, LLC (“Coronado”) (the “Transaction”) pursuant to File No. SES-T/C-20130905- 00782.1 The LLC Conversion will not affect the ownership of CNR except insofar is Omnitracs will change its form of organization. The LLC Conversion will occur in connection with and on the day following the consummation of the Transaction and is being undertaken solely in order to change Omnitracs’ form of organization from a corporation to a limited liability company. Except for the change in Omnitracs’ form of organization, the LLC Conversion will result in no change in the ownership, business, management, operations or assets of CNR. Accordingly, the LLC Conversion is pro forma in nature. Approval of the LLC Conversion will serve the public interest by enabling the parties to consummate the Transaction and enabling Omnitracs to continue to provide innovative products, including software applications, platforms and information services, to the fleet management services market. 1 Omnitracs is the licensee of the following Earth Station licenses: E050178; E050179; E040139; E880423; E040133; E874276; E890949; E950009; E890948; E000003; E960474; and E000004. The Commission previously consented to the transfer of control of Omnitracs from QUALCOMM to Coronado pursuant to File No. SES-T/C- 20130905-00783. An application for the pro forma assignment of Omnitracs’ licenses as a result of the LLC Conversion is being filed concurrently.
