Pro Forma Transfer of Earth Station Authorizations FCC Form 312 Exhibits E and F Exhibit E This application seeks consent to the pro forma transfer of control of Yellowstone LicenseCo LLC (“LicenseCo”) and the fixed earth stations that it holds (Call Signs E910391 and E030179) from Yellowstone Investors LLC (“Investors”) to Yellowstone Television LLC f/k/a Yellowstone Holdings LLC (“Yellowstone Television”) that will occur as part of a corporate reorganization. Both Investors and Yellowstone Television are ultimately owned and controlled by Jason Wolff. Upon consummation of the proposed corporate reorganization, the following entities will own and control the proposed transferee, Yellowstone Television: Jason Wolff 4311 Wilshire Blvd Suite 408 Los Angeles, CA 90010 Citizenship: United States Direct Ownership Interest: 100% voting interest in Yellowstone Television. (“Frontier”) 4311 Wilshire Blvd Suite 408 Los Angeles, CA 90010 Citizenship: California corporation Principal Business: Management company Ownership Interest in Yellowstone Television: 0% voting and equity interest; manager of Yellowstone Television Gray Yellowstone Management, LLC 4370 Peachtree Road, NE Atlanta, Georgia 30319 Citizenship: Delaware limited liability company Principal Business: Management company Ownership Interest in Yellowstone Television: will hold 0% voting interest and 99% of Yellowstone Television’s non-voting membership interests. 1

Pro Forma Transfer of Earth Station Authorizations FCC Form 312 Exhibits E and F Exhibit F This application seeks FCC consent to the pro forma transfer of control of the earth station licenses (Call Signs E910391 and E030179) held by Yellowstone LicenseCo LLC (“LicenseCo”) from Yellowstone Investors LLC (“Investors”) to Yellowstone Television LLC f/k/a Yellowstone Holdings LLC (“Yellowstone Television”) that will occur as part of a corporate reorganization. Currently, Investors is the sole member of Yellowstone Television. Both Investors and Yellowstone Television are ultimately controlled by Jason Wolff. As part of an internal reorganization, the parties seek the Commission’s consent to dissolve Investors, whereupon the membership and managerial interests currently held in Investors will instead be held directly in Yellowstone Television. Because ultimate ownership and control of the earth station licenses is unchanged, the transaction is deemed pro forma in nature. The earth stations held by LicenseCo are used in connection with the broadcast operations of KCWY-DT, Casper, WY and KGWN-TV, Cheyenne, WY for news gathering and coverage events of interest to the local communities. The parties to this application have filed an FCC Form 316 pro forma transfer of control application in the Media Bureau’s CDBS electronic filing system for consent to the pro forma transfer of the licenses for the TV stations associated with these earth stations. After consummation of the proposed transaction, LicenseCo will continue to use the earth stations in the same manner and for the same purposes as the earth stations were used before the pro forma transfer of control. Accordingly, grant of this application will serve the public interest. 2
