EXHIBIT F FCC FORM 312 Schedule A, Paragraph A21 Description of Transfer of Control & Public Interest Statement This application and thirteen related, concurrently-filed FCC Form 312 applications seek FCC consent to a transfer of control of certain of the licensee subsidiaries of Local TV Holdings, LLC (“Local TV”) to Tribune Broadcasting Company II, LLC (“Tribune Broadcasting”). The transfer of control will be effectuated by the acquisition by Tribune Broadcasting of all of the issued and outstanding limited liability company interests of Local TV pursuant to a Securities Purchase Agreement among Tribune Broadcasting and its parent, Tribune Company (together with Tribune Broadcasting, “Tribune”), and Local TV and certain related parties, dated as of June 29, 2013.1 The licensees of the subject earth stations will remain the same. FCC consent to this application and the thirteen other concurrently-filed FCC Form 312 applications would serve the public interest because they request FCC consent to transfer control of the licensees of various earth station licenses that are used in support of the operations of commercial TV broadcast stations also being acquired by Tribune as part of the above-described transaction. The earth stations will continue to be used to support television operations.
