The instant application seeks FCC authority for the transfer of control of U.S. Satellite
Corporation (“USSC”), licensee of earth stations E2595, E030277, and E870499, from
SUPERVALU Inc. (“SUPERVALU”) to AB Acquisition LLC (“AB Acquisition”). The instant
application is part of a larger transaction involving AB Acquisition’s acquisition of certain retail
food and drug businesses from SUPERVALU. Therefore, USSC is simultaneously (in two
additional applications) requesting transfer of control of its VSAT earth station licenses with call
signs E900470 and E900471; and its private microwave wireless licenses with call signs
WQRK224, WQRK225, and WQRK226. The FCC previously approved the transfer of certain
private business radio licenses from SUPERVALU to AB Acquisition as part of this transaction. 1

Grant of this application is in the public interest. USSC provides uplink and downlink satellite
services for the retail food and drug businesses acquired by AB Acquisition as part of this
transaction, as well as systems integration and IP network services. In addition, USSC provides
its services on a non-common carrier basis to unrelated parties. Grant of the instant application
will allow the continued provision of these services to USSC’s customers and facilitate the larger
transaction.
