GANNETT CO., INC. EXHIBIT F FCC FORM 312 Schedule A, Paragraph A21 Description of Transfer of Control & Public Interest Statement This application and four related, concurrently-filed FCC Form 312 applications notify the FCC of the proposed transfer of control of Belo Corp. (“Belo”), and its wholly-owned subsidiaries, the licensees of various earth station registrations, from Shareholders of Belo, Corp. to Gannett Co, Inc. (“Gannett”). Following this transfer, Gannett’s newly-formed wholly-owned subsidiary Delta Acquisition Corp. will merge with and into Belo, with Belo being the surviving entity. Thus, Belo will become a wholly-owned subsidiary of Gannett with Belo’s subsidiaries continuing as subsidiaries of Belo (under the control of parent Gannett). The licensees of the subject earth stations will remain the same. FCC grant of this application and four related, concurrently-filed FCC Form 312 applications would serve the public interest because they serve as notification of the proposed transfer control of the ultimate parent of six earth station registrations that are used in support of the operations of Belo’s commercial TV broadcast stations also being acquired by Gannett as part of the merger. The earth stations will continue to be used to support such operations. Including the instant application, the FCC Form 312 applications cover the below licensees and stations.
