GANNETT CO., INC. EXHIBIT F FCC FORM 312 Schedule A, Paragraph A21 Description of Transfer of Control & Public Interest Statement This application and eight related, concurrently-filed FCC Form 312 applications seek FCC consent to a transfer of control of Belo Corp. (“Belo”), and its wholly-owned subsidiaries, the licensees of various earth station authorizations, from Shareholders of Belo to Gannett Co, Inc. (“Gannett”). Following FCC approval of this transfer, Gannett’s newly-formed, wholly-owned subsidiary Delta Acquisition Corp. will merge with and into Belo, with Belo being the surviving entity. Thus, Belo will become a wholly-owned subsidiary of Gannett, with Belo’s subsidiaries continuing as subsidiaries of Belo (under the control of parent Gannett). The licensees of the subject earth stations will remain the same. FCC consent to this application and the eight other concurrently-filed FCC Form 312 applications would serve the public interest because they request FCC consent to transfer control of the ultimate parent of twenty-three earth station licenses that are used in support of the operations of Belo’s commercial TV broadcast stations also being acquired by Gannett as part of the merger. The earth stations will continue to be used to support television operations and provide weather and news information for cable programming provided by the Licensees. Including the instant application, the FCC Form 312 applications cover the below licensees and stations.
