Dortch Secretary Federal Communications Commission 445 12th Street, SW Washington, DC 20554 Re: Confirmation of Consummation of Transfer of Control of Satellite Earth Station, Call Sign E980527 (File No. SES-T/C-20120321-00323) Dear Ms. Dortch: On behalf of licensee Critical Alert Systems, LLC (“Critical Alert Systems”), this letter is to confirm the consummation of the pro forma transfer of control of the above-referenced satellite earth station. Consent was granted on November 28, 2012 nunc pro tunc for two prior transactions, so consummation actually took place prior to the grant of consent. In particular, in July 2010, CAS Investment Corp. (CIC) was established as the immediate corporate parent of Critical Alert Systems. On February 16, 2012, all membership interests in CAS held by CIC were transferred to Critical Alert Holdings, LLC (CAH). The ultimate ownership and control of CAS remains unchanged.
