                Public Interest Statement (Response to Question A21)


        The proposed transfer of control of BFI Licenses, LLC (“BFI”) and the fixed and
temporary-fixed Earth station licenses it holds from BFI Investors, LLC to CSC
Encompass Holdings, LLC, a Delaware limited liability company (“CSC Holdings”) will
serve the public interest, convenience and necessity by maintaining the subject
communications facilities in the hands of BFI and its parent company Encompass Digital
Media, Inc. (“Encompass”), which has built a significant business providing digital
transmission services to a variety of media companies. BFI and Encompass intend to
continue using and developing these facilities to expand their existing network
origination, transmission and production services business, increase their ability to offer
sophisticated digital transmission services directly to customers across the country, and
generally to enhance the scope and efficiency of their overall business. The addition of
CSC Holdings as the new controlling investor, with its strong track record in the
telecommunications and technology sector, will help to promote these goals and the
substantial public interest benefits arising from these activities, including enhanced
competition and customer choice. Following consummation, the current management of
Encompass will continue to operate the company and to provide high quality
communications services using the licensed facilities.
