FCC Form 312 November 2011 Exhibit E Information Concerning Ownership and Control This application requests Commission consent to the pro forma transfer of control of CoxCom, LLC (“CoxCom”), the licensee of earth station E880923 (the “Station”). Under the current ownership structure, CoxCom is 100% directly owned by Cox Communications, Inc. (“CCI”), which is 95.4% owned by Cox Holdings, Inc. (“CHI”) and 4.6% owned by Cox DNS, Inc. (“DNS”). Cox Enterprises, Inc. (“CEI”), which owns 100% of both CHI and DNS, currently holds a 100% indirect ownership interest in CCI. CEI is a privately-held company, with approximately 99% of its outstanding stock held by the Dayton-Cox Trust A (“Dayton Trust”), which holds both beneficial and voting interests in CEI. Through its ownership of CCI, CEI is the ultimate corporate parent of CoxCom. As part of a planned internal corporate restructuring, CHI and DNS will be dissolved and their assets, including their ownership of CCI, will be distributed to CEI. As a result, following the transaction, CEI will hold a 100% direct ownership interest in CCI, and will remain the ultimate corporate parent of CoxCom. The current and proposed ownership structures of CoxCom are reflected in the attached corporate organizational charts. 3781867_1
