The Federal Communications Commission ("FCC") granted the Application ofi* April 5, 2011, as listed in an FCC Public Notice issued on April 6, 2011.¢ L88000L1L07Zg1 Pursuant to Section 25.119(f) of the rules, the deadline for closing the transaction is 60 days from the date of authorization, or June 4, 2011 {effectively, June 6 because June 4 is a Holiday as defined by the FCC‘s rules). AMC Networks Inc. awaits additional approvals in order to close this transaction and does not expect to receive those additional approvals by June 6. It currently expects that it will secure those additional approvals within 60 days of the existing consummation deadline. Accordingly, the Commission is asked to extend the period of time by which consummation of the transaction is required to occur to August 3, 201 1. While licenses other than those issued by the International Bureau are included in this transaction, no extension of time is required with respect to the approval granted for those other licenses.
