Room TW—A325 Washington, D.C. 20554 Re: SES—T/C—20110225—00220 (WFRV and WJMN Television Station, Inc.) — Notification of Non—Consummation of Transaction Dear Ms. Dortch The above—referenced pro forma transfer of control application for the transmit/receive earth station license formerly held by WFRV and WJMN Television Station, Inc. ("WWTSI"), a wholly—owned subsidiary of Liberty Media Corporation ("Liberty Media"), was one of a group of pro forma transfer applications filed in connection with the proposed split—off of the Liberty Capital and Liberty Starz tracking stock groups from Liberty Media. The International Bureau granted this pro forma transfer of control application on April 21, 2011. The International Bureau previously extended the consummation period for this application until August 19, 2011 (copy attached as Exhibit 1). This is to notify the International Bureau that Liberty Media will not consummate the pro forma transfer of control transaction with respect to the transmit/receive earth station license previously held by WWTSI. In the interim, Liberty Media completed a transaction with Nexstar Broadcasting, Inc. ("Nexstar") in which WWTSI assigned certain FCC licenses to Nexstar, including the transmit/receive earth station license formerly held by WWTSI. The International Bureau previously granted the earth station assignment application for the WWTSI/Nexstar transaction. See SES—ASG—20110415—00463. _A copy of the required consummation notification filed in connection with the assignment transaction is attached as Exhibit 2.
