                                Description of Transfer of Control

         Miami Valley Broadcasting Corporation (“MVBC”), licensee of WHIO-TV, Dayton, Ohio,
and its associated earth station E873996, hereby seeks Commission consent to an internal corporate
reorganization to transfer control of MVBC from Cox Newspapers, Inc. to Cox Media Group, Inc.
(f/k/a Cox Broadcasting, Inc.). This qualifies as a pro forma transfer of control because Cox
Enterprises, Inc. (“CEI”) has and will retain ultimate ownership and control of MVBC and E873996.
MVBC is concurrently submitting with the Media Bureau an application for consent to transfer
control of the license for WHIO-TV.

         MVBC is submitting this pro forma transfer application on a nunc pro tunc basis. On
December 30, 2009, CEI completed an internal reorganization of numerous wholly-owned
subsidiaries involved principally in non-broadcast activities. Due to an inadvertent oversight,
MVBC, which was indirectly affected by this internal reorganization, did not seek prior consent for
this pro forma transaction. As indicated on the following chart, the portion of the internal
reorganization affecting MVBC resulted in the substitution of wholly-owned intermediate entities in
the chain of ownership between MVBC and CEI. None of the officers or directors of MVBC or any
of its parent entities have changed as a result of this pro forma transfer.
