                    Description of Transaction and Public Interest Statement

Knight Sky Consulting and Associates (“Knight Sky”) (Licensee and Assignor) and the
TeleCommunication Systems, Inc. (“TCS”) (Assignee) hereby notify the Commission that they desire to
transfer from the Assignor to the Assignee the following two licenses:

This transfer is in the public interest as it is being made so that TCS can comply with a vital disaster
recovery / homeland security support contract from the Department of Homeland Security (DHS)
previously held by Knight Sky. From a technical perspective, noting will be changing with the earth
stations except that TCS will be the vendor instead of Knight Sky.

TCS is a leading provider of mission critical wireless and satellite data solutions to government
customers, public safety, and carriers. TCS produces wireless data communications technology solutions
that require proven high levels of reliability. TCS is a publically held corporation (NASDAQ – TSYS)
with over 650 employees, and has the financial, legal, and technical expertise to administer these licenses.
TCS will conduct operations under these licenses in accordance with and subject to applicable rules and
regulations.

Because there are no technical, environmental, geographic, power, equipment, frequency, or other
changes being made to these licenses, TCS is requesting expedited treatment of its application(s).
DHS uses this system for vital life saving disaster recovery communications, therefore, an expedited
review is in the public interest. In addition, as noted above, there are not substantive technical changes
from the prior acceptable license applications other than the party as licensee.
