Dear Sir or Madam:

         Media Holdco, LP ("Media Holdeo") hereby requests a sixty—day extension of time to
consummate the transaction ("Transaction") described in IBFS File No. SES—T/C—20091005—01275
("Application"). As stated in the Application, the Transaction is part of a larger reorganization       .
("Reorganization") of certain subsidiaries of ION Media Networks, Inc. ("ION®") pursuant to the chapter
11 joint plan of reorganization ("Plan") filed with the United States Bankruptcy Court for the Southern
District of New York ("Bankruptcy Court"). The Application sought approval from the Federal
Communications Commission ("FCC") for the indirect transfer of control of ION Media Houston
License, Inc., licensee of receive—only earth station, E900563, from the ION Media Liquidating Trust
("Liquidating Trust") to Media Holdco.

         The Plan contemplates that, upon confirmation of the Plan by the Bankruptcy Court and receipt of
the requisite FCC approvals, control of ION will be vested temporarily in the Liquidating Trust (subject
to the retained jurisdiction of the Bankruptcy Court) until such time as the FCC approves the indirect
transfer of control of the broadcast license subsidiaries of ION from the Liquidating Trust to Media
Holdco. Although the Bankruptcy Court issued an order confirming the Plan on December 3, 2009,
applications relating to the Reorganization remain pending before the Media Bureau of the FCC. See,
e.g., FCC File No. BTCCDT—20090901ABT. Therefore, an extension of time to consummate the
Transaction is necessary. Accordingly, Media Holdco respectfully requests a 60—day extension of time
until February 12, 2010 to consummate the Transaction.
