43. Description. (Summarize the nature of the application and the services to be provided). Applicant, Satamatics Global Limited (SGL), requests authority to transfer indirect control of licensee, Satamatics, Inc. (a Delaware corporation) from Satamatics Worldwide Limited (SWL) (a UK corporation) to SGL(a UK corporation). As described in Exhibit 1 to this application, control of the licensee was transferred from SWL to SGL on October 12, 2006. Because the transfer of control from SWL to SGL involved each of the shareholders of SWL, the transfer of control was pro forma in nature. In addition to seeking authorization for this previous pro forma transfer of control, SGL seeks authorization to dissolve and eliminate SWL from the ownership structure of the licensee, Satamatics, Inc. 15
