The parties anticipate that this transaction will be closed on July 30, 2008. The Commission‘s consent was granted on January 24, 2008 and the current consummation deadline for these applications is July 24, 2008. This extension request is being filed so that the consummation extension will not expire prior to the anticipated closing. Granting this additional extension request is in the public interest. 128746481
