Spriggs Systems Analysis Branch, Satellite Division International Bureau Re: Notification of Consummatjon File No. SES—T/C—20060822—01423 Dear Mr. Nelson: Pursuant to Section 25.119(f) of the Commission‘s rules, Telespectra, LLC d/b/a Sparkplug Southwest, LLC ("Telespectra") hereby notifies the Commission that AZ Asset Holdings I, LLC ("AZ Asset") has transferred control of its interest in CNG Communications, Inc. ("CNG") to Telespectra. On August 22, 2006, AZ Asset filed an application seeking Commission consent to the transfer of control of 100% of the outstanding capital stock of CNG to Telespectra. CNG holds four earth station authorizations, call signs E873739, £E920004, E920021, and KF61. The application was granted on October 17, 2006 (see Public Notice, Report No. SES—00865). On December 11, 2006, the Commission granted a request for extension of time to consummate the transfer of control until February 2, 2007 (see attachment). By this letter, Telespectra notifies the Commission that the transfer of control was consummated on January 22, 2007. Therefore, Telespectra hereby requests that the Commission consider this transaction completed with respect to the above—referenced authorizations.

By way of background, on August 22, 2006, AZ Asset Holdings I, LLC (CAZ Asset") filed an application seeking Commission consent to the transfer of control of 100% of the outstanding capital stock of CNG Communications, Inc. ("CNG®") to Telespectra. CNG holds four earth station authorizations, call signs E873739, E920004, E920021, and KF61. The application was accepted for filing on August 30, 2006 (see Public Notice, Report No. SES—00850) and granted on October 17, 2006 (see Public Notice, Report No. SES—00865). Pursuant to section 25.119(f) of the Commission‘s rules, "transfers of control shall be completed within 60 days from the date of authorization." 47 C.F.R. § 25.119(f). Therefore, under the rule, AZ Asset and Telespectra are required to consummate the transaction by December 16, 2006. The parties are working diligently to consummate their transaction. However, due to the numerous facets of this transaction, the parties are unable to close it by December 16, 2006. Therefore, Telespectra hereby requests that the Commission grant a brief 60—day extension to complete the transfer of control. WRFMAIN 12571316.1
