(*Hughes®) and SkyTerra Communications, Inc.("SkyTerra® and together with Hughes, the "Applicants"), partiesto an application ("Application‘) to ransfer control of HNS License Sub, Limited (*HNS, Limited), a wholly—owned subsidiary of Hughes Network Systems, LLC (*Hughes Networks") and the licensee of certain earth station authorizations used in connection with the business ofproviding VSAT services and manufacturing communications equipment, this letter requests an additional 60 days, until March 6, 2006, to consummate theproforma transfer of control of HNS, Limited from SkyTerra to Hughes. The earth station authorizations affected by the Application are listed on Exhibit 1, attached hereto. The Applicants also request that the Federal Communications Commission ("Commission") update its records to reflecttat SkyTerra Holdings, Inc. has changed its name to Hughes Communications, Inc. "The Application described a two—step transaction pursuant to which SkyTerra would first transfer to Hughes its 50% controlling membership interest in Hughes Networks ("Step One") and then distribute the stock of Hughes to stockholders and warrantholders of SkyTerra stock ("Step Two"). The Applicants intend to complete Step One of the transaction on or before December 31, 2005. However, consummation of Step Two ofthe transaction is subject to the approval ofthe United States Securities and Exchange Commission ("SEC"). Although the Applicants submitted with the SEC the requisite materials for approval of Step Two on December 5, 2005, the SEC has not yet approved Step Two. However, on November 8, 2005, the Commission extended the deadline for consummating the transaction described in the Application to January 6, 2006. Because the SEC has not yet approved Step Two, a cireumstance outside the control ofthe Applicants, the Applicants require additional time to consummate the transaction, which the Applicants intend to consummate upon receipt of SEC approval. Accordingly, the Applicants respectfully request an additional 60 days to consummate the transfer ofcontrol as described in the Application.
