CONTROL OF TRANSMISSION AGREEMENT BETWEEN THRUCOMM, INC/CNS, LLC AND NETWORK SERVICE SOLUTIONS, LLC This Control of transmission ("Agreement") dated as of January 1, 2005, by and among Thrucomm, Inc, dba Comprehensive Network Services, LLC an Illinois limited liability company ("Assignee"), Network Service Solutions, LLC, a Maryland limited liability company ("NSS"). WHEREAS, Assigness and NSS have entered into an Asset Purchase Agreement dated January 1, 2005, (the “Agreement”) to transfer the control of specified assets of Assignee, including certain relevant licenses; WHEREAS, NSS agrees to give and Assignee consents to accept control of certain transmission rights for an interim period pending the issuance of applied for FCC licenses: NOW, THEREFORE, in consideration of mutual covenants and agreements herein contained, the Parties do hereby agree as follows: 1. Consent to Assign Control of Transmission NSS hereby consents to give control of transmissions from its facility located at 6904 Fairfield Business Drive, Building D, Fairfield, Ohio, 45014 to Assignee until such time as a direct FCC license is issued to NSS. 2. Acceptance of Assignment of Control of Transmission Assignee hereby accepts the assignment of control of transmissions from the NSS facility referenced in Section 1 until such time as NSS has received a direct FCC license for the transmission. 3. Indemnification by NSS NSS agrees to indemnify and hold Assignee harmless from, against and in respect of any liability relating to the referenced control of the transmission from NSS’ facilities.
