On November 6, 2003, the Intermational Bureau, Wireline Competition Bureau, and Wireless Bureau authorized a transfer ofcontrol from BANZIT to PTL of certain licenses held by The Micronesian Telecommunications Corporation ("MTC®)and its subsidiary GTE Pacifica Inc. (°GTE Pacifia®). Unfortunately, despite the ongoing diligent efforts ofthe parties, notall ofthe conditions to the closing ofthe transaction have yet been satisied. Although the localregulatory authority in the Commonwealth ofthe Northern Mariana Islands, the Commonealth Telecommunications Commission, by order dated June 16, 2005 granted approval for the transfer ofcontrol ofthe local tlecommunications Hicense, that approval was made subjectto a number ofconditions precedent. Accordingly, the partes will not be in a position to close the transaction untilthe conditions precedent have been satiied.
