Under Delaware law, the transformation of a corporation to a limited liability company does not involve a change in control or the assignment of assets to any other entity. Similarly, Amtech‘s conversion from a Delaware corporation to a Delaware limited liability company does not involve an assignment or transfer of control under the Commission‘s rules. See 47 C.F.R. § 25.119 (2004). The change is administrative only, and Amtech‘s Taxpayer Identification Number ("TIN") and FCC Registration Number ("FRN") remain the same. In addition, Amtech hereby updates its authorizations and pending applications, pursuant to Section 1.65 of the Commission‘s rules, id. at § 1.65, to reflect these administrative changes. The file numbers associated with Amtech‘s authorizations and pending applications are provided in the attached Exhibit. Please direct any questions regarding this matter to the undersigned.
