O‘Grady—Parent, Acting Counsel and Deputy Commissioner for Legal Affairs for the New York State Education Department, hereby certify that the WNYC Radio, located in the city, county, and state of New York, was incorporated by action of the Board of Regents by the issuance of an absolute charter in the first instance under the corporate name "The WNYC Broadcasting Foundation" on December 15, 1995; that such corporation was consolidated by Regents action on March 11, 1997 with the WNYC Foundation, a domestic not—for—profit corporation, with the surviving corporation being WNYC Foundation; that an absolute charter in the first instance was granted to WNYC Foundation by Regents action on March 11, 1997 and as amended to change the corporate name to "WNYC Radio"; that such corporation was amended by Regents action on March 9, 2010 to change the corporate name to "New York Public Radio"; that the period for which such corporation was created is perpetual; that no certificate or order of dissolution of such corporation has been filed or issued; and that such corporation is currently authorized to do business in the State of New York.
