                       Exhibit Relating to Basic Qualification Question

KQED Inc. (“KQED”). In KQED, Inc., 5 FCC Rcd 1784 (1990), recon. den., 6 FCC Rcd 625
(1991), the Commission denied KQED’s application for renewal of license of KQEC-TV, San
Francisco, based on misrepresentations made to the Commission in connection with that station.
In the same case, the Commission found that the KQEC-TV conduct did not impair KQED’s
qualifications to hold licenses for KQED(TV) and KQED-FM and the Commission renewed
those licenses. Judicial review of the Commission’s grant of the KQED(TV) and KQED-FM
renewals was denied in an unreported Order in California Broadcast Forum vs. FCC, Case No.
91-1111 (D.C. Cir.), decided Sept. 30, 1991, reh. den. Dec. 23, 1991. The Commission has since
granted KQED’s application for the assignment of KQEH(TV) and KQET(TV) as well as its
applications to acquire Station KQEI-FM and has continued to renew the licenses for all of
KQED’s stations: KQED(TV), KQED-FM, KQEI-FM, KQEH(TV) and KQET(TV).
