      Dear Ms. Dortch:

                       On October 2,2003, the Federal Communications Commission ((‘Commission”)
      granted the request of California Broadcast Center, LLC (“CBC”) for Special Temporary
      Authority (“STA”) to access frequencies in the 6425-6525 MHz band in order to uplink
      programming to the Galaxy 111-C satellite on a temporary basis to conduct interference testing.
      As required by the Commission’s grant, on March 4,2004, CBC sent to the Commission the
      results of the interference tests, which demonstrated that CBC’s proposed uplink operations will
      not cause harmful interference to the local electronic news gathering (“ENG’) users operating in
      the 6425-6525 MHz band in the Los Angeles, California metropolitan area. CBC noted in its
      March 4,2004 letter that Broadcast Sports Enterprises, Inc., Western Technical Services, NBC
      Subsidiary (KNBC-TV), Inc. and Estrella License Corporation represented to CBC that they
      agree the interference tests did not result in any harmful interference to ENG users operating in
      the 6425-6525 MHz band in the Los Angeles, California metropolitan area, and that the parties
      expected to file with the Commission a settlement agreement to that effect. Attached is a
      settlement agreement executed by CBC and NBC Subsidiary (KNBC-TV), Inc. and Estrella
      License Corporation in which the parties acknowledge that the results of the testing demonstrate
      that no hannful interference exists to local ENG users operating in the extended C band
      frequencies. On March 23,2004, CBC filed a similar agreement between it and Broadcast
      Sports Enterprises, Inc. and Western Technical Services.

    STIPULATION BETWEEN CALIFORNIA BROADCAST CENTER, LLC AND
BROADCAST SPORTS ENTERPRISES, INC., WESTERN TECHNICAL SERVICES, NBC
    SUBSIDIARY (KNBC-TV), INC. AND ESTRELLA LICENSE CORPORA TION



               In order to resolve in an amicable way the disputes between California Broadcast

Center, LLC (“CBC”) and Broadcast Sports Enterprises, Inc., Western Technical Services, NBC

Subsidiary (KNBC-TV), Inc. and Estrella License Corporation (“Joint Petitioners”) now pending

before the Federal Communications Commission in SES-MOD-20030318-0035 1, CBC and the

Joint Petitioners agree to the terms and conditions contained in this Stipulation.

               On March 14, 2003, CBC filed an application to modify its earth station

authorization E020091 in the domestic fixed satellite service to access additional frequencies in

the 6425-6525 MHz band (“Modification Applicationy’)for the purpose of uplinking with Galaxy

111-C’s Ku band downlink transponders to serve South America. On April 25, 2003, the Joint

Petitioners filed an opposition to the Modification Application, asserting that CBC’s proposed

uplink operations would likely cause interference to the local electronic news gathering (“ENG”)

and other terrestrial users operating in the 6425-6525 MHz band in the Los Angeles, California

metropolitan area.

               On June 23, 2003, CBC requested Special Temporary Authority (“STA”) to

access frequencies in the 6425-6525 MHz band in order to uplink programming to the Galaxy

111-C satellite on a temporary basis to conduct an interference test. The FCC granted CBC’s

STA request on October 2, 2003. Pursuant to the STA, CBC has worked with the ENG

community to conduct interference testing. Both CBC and the Joint Petitioners acknowledge

that the results of the testing demonstrate that no harmful interference exists to local ENG users

operating in the extended C band frequencies; however, nothing in this Stipulation shall preclude


the Joint Petitioners fkom filing a complaint against CBC in the future in the event that the Joint

Petitioners experience actual interference from CBC's uplink operations. The Joint Petitioners

do not purport to represent the interests of any licensees other than themselves.

               In an effort to resolve their disputes pending before the Federal Communications

Commission in SES-MOD-20030318-00351, CBC and the Joint Petitioners agree to the

following terms and conditions:


                       As indicated in the Modification Application, CBC shall communicate
                       with a single satellite, Galaxy 111-C, at a single location, a 95" W.L. orbital
                       location.

                      Having acknowledged that CBC's facility will not cause interference to
                      the local ENG users operating in the 6425-6525 MHz band in the Los
                      Angeles, California metropolitan area, the Joint Petitioners agree not to
                      file comments opposing CBC's Modification Application in SES-MOD-
                      20030318-00351.

     Executed on this the 25th day of March 2004.
