Exhibit A Page 1 FCC Form 312 EXHIBIT A DESCRIPTION OF TRANSACTION AND OWNERSHIP INFORMATION By this application, Communications Central II, Inc. (“CCII”) seeks Commission consent to the assignment of earth stations E870212 and 880923 from Tulsa Cable Television, Inc. (“Tulsa”) to CCII. Currently, Tulsa is controlled by AT&T Corporation. Pursuant to an Agreement and Plan of Reorganization among Cox Teleport Partners, Inc., AT&T Corp., TCI Holdings, Inc. and United Cable Television Corporation dated July 6, 1999, (the “Reorganization Agreement”) Cox Teleport Partners, Inc. (“Cox”) will acquire control of the licensee through a multi-step transaction. In the first step of the transaction, pursuant to the Reorganization Agreement, the interests in Tulsa will be assigned to a newly-formed wholly-owned subsidiary of AT&T, Communications Central II, Inc. In the second step, the stock of Communications Central II, Inc. will then be acquired by Cox. An ownership structure diagram of the applicant is included with this Exhibit, along with detailed information pertaining to the officers, directors and shareholders of CCII and its parent corporation.
