In his capacity as trustee, subject to certain restrictions, Mr. Gouger holds, and has the ability to exercise voting power over, shares representing 11.8% of the equity interests (assuming conversion of all shares of outstanding Class B Common Stock into Class A Common Stock) and 11.0% of the voting interests in EchoStar (assuming no conversion of Class B Common Stock). 4 The foregoing information is based solely upon a Schedule 13D filed by Putnam Investments with the SEC on February 14, 2014.
