Under Delaware law, the transformation of a corporation to a limited liability company does not involve a change in control or the assignment of assets to any other entity. Similarly, Amtech‘s conversion from a Delaware corporation to a Delaware limited liability company does not involve an assignment or transfer of control under the Commission‘s rules. See 47 C.F.R. § 25.119 (2004). The change is administrative only, and Amtech‘s Taxpayer Identification Number ("TIN") and FCC © Registration Number ("FRN") remain the same. In addition, Amtech hereby updates its authorizations and pending applications, pursuant to Section 1.65 of the Commission‘s rules, id. at § 1.65, to reflect these administrative changes.
