FCC Forms 312 and 603 Exhibit 1 DESCRIPTION OF TRANSACTION AND PUBLIC INTEREST STATEMENT HDNet LLC (“Assignor”) and HDNet FCC LicenseCo LLC (“Assignee”) hereby seek Commission consent for the proposed pro forma assignment of the earth station and part 90 licenses listed in Attachment A from Assignor to Assignee. 1 Assignee is the wholly-owned subsidiary of HDNet FCC Holdco LLC, which in turn is controlled by Network Holdings, LLC and ultimately by Mark Cuban. Assignor is also controlled indirectly by Network Holdings, LLC and has the same ultimate ownership as Assignee. Accordingly, the proposed assignment is pro forma in nature. Grant of the proposed pro forma assignment will facilitate internal corporate restructuring and potential future business transactions. Accordingly, the parties submit that approval of the application will serve the public interest, convenience and necessity. Approval of the proposed pro forma assignment application for the earth station licenses “does not require a waiver of, or a declaratory ruling pertaining to, any applicable Commission rule.”2 The parties certify that “the proposed . . . assignment is pro forma” and “together with all previous pro forma transactions, [the proposed assignment] would not result in a change in the actual controlling party.”3 Accordingly, the pro forma assignment application for the earth station licenses should “be deemed granted one business day after filing.”4 1 The licenses held by the Assignor are associated with two FCC FRNs, 0007370406 and 0027691468.
