Description of Transaction ION Media of Tampa, Inc. (“ION Tampa”) and ION Media Television, Inc. (“IMTV”), both Florida corporations, were parties to an internal entity restructuring (the “Reorganization”). Pursuant to the Commission’s rules, the Reorganization qualified for pro forma treatment because it was being undertaken solely for internal simplification purposes which did not involve any change in the ownership or control above the level of IMTV. At the time of the Reorganization, IMTV directly owned ION Tampa. In the Reorganization, ION Tampa was merged with and into IMTV in accordance with the Florida Business Act. As a result of the merger, the separate corporate existence of ION Tampa ceased on August 31, 2018, and IMTV continued as the surviving entity. ION Tampa was the licensee of two Fixed Earth Stations, E920199 and 150101 (the “Earth Station Licenses”). However, ION Tampa inadvertently failed to file a pro forma assignment application necessary to transfer the Earth Station Licenses from ION Tampa to IMTV. Accordingly, IMTV hereby submits an assignment application nunc pro tunc to assign the Earth Station Licenses from ION Tampa to IMTV, and requests a waiver of Section 25.119(a) of the FCC’s rules, as necessary.
