EXHIBIT E DESCRIPTION OF TRANSACTION AND CHANGES IN INTEREST The instant application proposes a pro forma assignment of Transmit/Receive Fixed Ku-Band earth station registration E060152 (the “Station”) from Quincy Media, Inc. (“Quincy”) to KVOA License, LLC (“Assignee”). Assignee is a wholly owned, second tier subsidiary of Quincy. Quincy is party to a pending assignment application on file with the International Bureau in which it proposes to become the assignee and licensee of the Station from assignor KVOA Communications, LLC. See IB File No. SES-ASG-20181109-03161. The earlier filed International Bureau application is part of a larger transaction involving the assignment by KVOA Communications, LLC to Quincy of full-service station KVOA(TV), Tucson, AZ. The Media Bureau application on FCC Form 314 with respect to full-service station KVOA(TV) is currently pending in MB File No. BALCDT-20181109AAC. The instant pro forma application is related to the corresponding pro forma assignment of full- service station KVOA(TV) from Quincy to Assignee on FCC Form 316, currently pending with the Media Bureau in MB File No. BALCDT-20190219ABA. Following is a summary depiction of the proposed pro forma transaction: BEFORE ASSIGNMENT AFTER ASSIGNMENT Quincy Media, Inc. Quincy Media, Inc. (Proposed Licensee of E060152) (100%) KVOA Television, Inc. (100%) KVOA License, LLC (Proposed Licensee of E060152) This transaction is pro forma in nature because the transaction is a “corporate reorganization which involves no substantial change in the beneficial ownership” of the FCC licenses. See 47 C.F.R. § 73.3540(f)(4).

Since this application is in connection with an internal corporate restructuring, there is no formal written agreement for this pro forma transaction. The attributable parties of KVOA Television, Inc. and Assignee are made up entirely of attributable parties of Quincy. The qualifications of the attributable parties of Quincy were last approved on “long-form” by the Commission on December 20, 2018, in FCC File No. BALCDT-20181031AAI.
